We are looking for a skilled and experienced In House Counsel to join a prominent company in the Cincinnati area. This role requires expertise in corporate law and investment-related legal matters, including securities law and private fund formation. The position offers an exciting opportunity to contribute to complex transactions and provide strategic legal guidance.

Responsibilities:

• Advise on corporate legal matters, including mergers and acquisitions, private fund formation, and investment-related issues.

• Ensure compliance with securities laws and oversee regulatory filings with relevant authorities.

• Provide counsel on structuring and managing private investment funds.

• Collaborate with internal teams to support strategic business initiatives and transactions.

• Draft, review, and negotiate contracts and agreements related to corporate and investment activities.

• Conduct legal risk assessments and develop strategies to mitigate potential liabilities.

• Stay updated on industry regulations and advise on their impact on business operations.

• Represent the organization in legal proceedings and negotiations when required.

• Work closely with external counsel on specialized legal matters.

• Offer strategic legal advice to senior management, ensuring alignment with organizational goals.

• Juris Doctorate from accredited law school required. Admitted to a US state bar in good standing.

• Minimum of 5 years of legal experience, preferably in corporate law, securities law, or investment law.

• Proven expertise in private fund formation and general private investment matters.

• Strong knowledge of securities regulations and filings.

• Experience handling mergers and acquisitions (M& A) transactions.

• Background in corporate law at a larger firm or within a corporate environment.

• Exceptional analytical and problem-solving skills.

• Ability to manage multiple priorities and deadlines effectively.

• Strong communication and negotiation skills for collaboration with internal and external stakeholders.
